Associate Membership Disclaimer

 

The Australian Furniture Association Inc (AFA), an incorporated association under the Associations Incorporation Reform Act 2012 (Vic) (the Act), offers various categories of membership, including Full Membership and Associate Membership.

Associate Membership is a non‑voting class of membership established pursuant to Rule 14 of the AFA Rules of Incorporation (the Rules). Under the Rules:

  • Associate Members must not vote at general meetings (Rule 14(2));
  • Associate Members may, from time to time, be granted limited rights and access to benefits, resources, and events at the discretion of the AFA Committee or as determined by resolution at a general meeting;
  • The general rights of members under Rule 13, including access to Association records, the right to vote, and the right to submit agenda items, do not apply to Associate Members unless expressly granted.

Associate Membership is not intended to confer the same rights and entitlements as Full Membership. In particular, Associate Members:

  • Are not entitled to inspect the register of members under Section 59 of the Act or Rule 13(1)(f);
  • Do not have rights under the contractual framework formed between the AFA and Full Members as recognised by Section 46 of the Act;
  • Are not guaranteed access to governance information, meeting minutes, financial reports or other internal documents of the Association unless separately provided by the AFA Committee.

By applying for Associate Membership, applicants acknowledge and accept that Associate Membership does not confer voting rights or full participatory rights in the governance of the Association.
